1. Acceptance of Terms
These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between your organization ("Customer", "Institution", "You") and Aquar Labs ("AdventShip", "Company", "We", "Us").
By signing an order form, registering an administrative account, or accessing the AdventShip platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you are accepting on behalf of a church, conference, academy, university, or healthcare institution, you represent that you possess the authority to bind that entity.
2. Description of Services
AdventShip provides a suite of specialized software-as-a-service (SaaS) products for Seventh-day Adventist entities, including:
- AdventShip One: Church and ministry management software.
- AdventShip Campus: Comprehensive school, college, and university ERP.
- AdventShip Care: Hospital and clinical health systems.
- AdventShip Publish: Adventist literature, publishing, and bookstore management.
- AdventShip Web & Mobile: Websites, portals, and member mobile applications (including Advent One).
3. Accounts & Responsibilities
Customers are responsible for:
- Maintaining the confidentiality of all administrative user logins and passwords.
- Ensuring that role permissions assigned to staff, pastors, teachers, and volunteers reflect appropriate access.
- Promptly revoking access credentials of departing employees or volunteers.
- All activities, entries, and data transactions conducted through customer accounts.
4. Acceptable Use Policy
You agree not to misuse the AdventShip platform. Prohibited activities include:
- Attempting to probe, scan, or breach system security or authentication mechanisms.
- Reverse-engineering, decompiling, or copying the underlying platform code or proprietary algorithms.
- Using the services to transmit unlawful, defamatory, harassing, or fraudulent communications.
- Interfering with platform performance or conducting automated scraping without explicit written authorization.
5. Subscriptions, Fees & Payments
Subscription tiers and custom enterprise contracts are billed on a monthly, quarterly, or annual basis as specified in the applicable order schedule.
- Invoicing & Taxes: Fees are exclusive of applicable local taxes unless explicitly stated.
- Renewals: Subscriptions automatically renew at the end of each billing cycle unless written cancellation notice is given at least 30 days prior.
- Ministry Discounts: Special non-profit tiers and developing-world conference concessions remain valid for active, qualifying institutions.
6. Intellectual Property & Data Ownership
Clear Distinction of Ownership
You own your data: All member directories, student files, health records, accounting entries, and uploaded assets remain the exclusive property of your institution.
Aquar Labs owns the platform: The software, visual designs, database schemas, codebases, APIs, and logos of AdventShip are the exclusive intellectual property of Aquar Labs.
7. Service Availability & Support
We target a 99.9% service availability for cloud infrastructure, excluding pre-announced scheduled maintenance windows. Technical support is accessible via ticketing, email, and live priority escalation for conference-level deployments.
8. Warranties & Disclaimers
Official Entity Disclaimer: AdventShip is an independent commercial software platform developed by Aquar Labs. It is not owned, operated, endorsed, or officially affiliated with the General Conference of Seventh-day Adventists® or any official entity of the Seventh-day Adventist Church. References are solely descriptive of the church organizational structures we support.
9. Termination & Data Retrieval
Either party may terminate the agreement for cause in the event of a material breach uncured within 30 days of written notice. Upon termination, Customers are granted full data export access for 60 days before data is permanently decommissioned.
